Terms of Service

Effective October 26, 2026

The short version

This summary is for convenience. The full terms below are what apply.

1. What Sinviva is

Sinviva LLC ("Sinviva," "we," "us") runs sinviva.com, an online marketplace where creators and influencers ("creators") and companies ("brands") build profiles, post and apply to campaigns, message each other, and manage sponsorship deals. These Terms of Service ("Terms") are an agreement between you and Sinviva. By creating an account or using Sinviva, you agree to these Terms and to our Privacy Policy. If you don't agree, please don't use Sinviva.

2. Who can use Sinviva

  • You must be at least 18 years old. Sinviva isn't for anyone under 18, including creators with a parent's permission.
  • If you use Sinviva for a company, you confirm you're allowed to act for that company and agree to these Terms on its behalf.
  • You can't use Sinviva if we've previously removed you, or if the law where you live doesn't allow it.

3. Your account

  • Give accurate, current information and keep it up to date.
  • Keep your password safe, and don't share your account. You're responsible for activity on your account.
  • Tell us right away at hello@sinviva.com if you think someone else has accessed it.
  • One person or company per account, and don't impersonate anyone.

4. Deals between members

Sinviva provides tools to find partners and manage deals, but deals are between the creator and the brand. Sinviva isn't a party to them, isn't an agent for either side, and doesn't employ creators. We don't guarantee that anyone will respond, agree to a deal, deliver content, or pay. Before agreeing to a deal, do your own research on the other party.

Creators are independent. Each creator is responsible for their own content, taxes, and following the laws that apply to them. That includes clearly labeling sponsored content (for example with "#ad" or a platform's paid-partnership tool), as advertising rules such as the U.S. FTC's Endorsement Guides require.

5. Creator agreements

When both sides lock in a deal, Sinviva can generate a creator agreement from a standard template, and each side signs it by typing their name. By signing, you agree to be bound by that agreement with the other party. Sinviva is not a party to it. The template is a starting point, not legal advice. Sinviva doesn't review agreements for you, and you're free to get your own legal advice before signing.

6. Payments between members

Sinviva doesn't process, hold, or guarantee payments. Brands pay creators directly, outside Sinviva, using the payment terms and method they agree on and include in their creator agreement.

  • Sinviva is not responsible for non-payment, late payment, refunds, chargebacks, or disputes about payment or deliverables. Those are between the brand and the creator.
  • Each member is responsible for their own contracts, invoices, and records. We recommend payment methods that leave a record, like bank transfer, PayPal Business invoices, or other invoices, rather than cash apps.
  • Taxes: creators are responsible for reporting their income and paying their own taxes. Brands are responsible for any tax forms they must issue to the creators they pay, such as a Form 1099 above the IRS threshold.
  • Sinviva doesn't currently charge fees on deals. If we ever offer in-app payments or paid features, we'll update these Terms and tell you before anything changes.

7. Scout, our AI assistant

Scout uses artificial intelligence to find matches, suggest what to say, recommend rates, and draft messages. AI can be wrong, incomplete, or inappropriate, so:

  • You're responsible for every message you send, including ones Scout drafted or sent with Autopilot turned on.
  • Read drafts before sending. If you turn on Autopilot, you're telling Sinviva to send Scout's messages for you without review.
  • Rate suggestions are estimates based on deals on Sinviva, not a promise of what anyone will pay.
  • Don't use Scout to create anything that breaks these Terms.

To produce its results, Scout sends the relevant information (such as your request, your profile, and the profiles of possible matches) to our AI provider. See our Privacy Policy for details.

8. Messaging and outreach

  • Only message people about real, relevant business opportunities. No spam, chain messages, or bulk messages unrelated to the person you're contacting.
  • If someone asks you to stop contacting them, stop.
  • When Scout prepares Instagram messages, you send them yourself through Instagram, and you must follow Instagram's rules. Sinviva doesn't send messages on other platforms for you.
  • We may limit how many messages you can send to keep Sinviva useful and safe.

9. Rules for using Sinviva

You agree not to:

  • Post false or misleading information, including inflated follower counts, engagement, or results.
  • Harass, threaten, discriminate against, or abuse anyone.
  • Post anything illegal, sexually explicit, hateful, or violent, or anything that infringes someone else's rights.
  • Promote illegal products or services, or deals that would break advertising or consumer-protection laws.
  • Collect other members' information for outside use, scrape Sinviva, or use bots without our permission.
  • Try to get around Sinviva's security, rules, or limits, or interfere with how Sinviva works.
  • Use Sinviva to cheat other members, including not paying or not delivering after agreeing to a deal.

10. Your content

You own what you post on Sinviva: your profile, posts, campaigns, messages, and media ("your content"). You give Sinviva a non-exclusive, worldwide, royalty-free license to host, store, display, and process your content as needed to run and improve Sinviva. For example, we show your profile to other members and use your content so Scout can match you. This license ends when you delete your content or account, except for copies other members already received (like messages) or that we must keep by law.

You confirm you have the rights to everything you post. If you send us feedback or ideas, we may use them without owing you anything.

11. Profile information and stats

Follower counts, engagement rates, and other stats on Sinviva are entered by members unless they're marked as verified. Sinviva doesn't check them. Brands should confirm a creator's numbers before relying on them.

12. Reporting, suspending, and closing accounts

If another member doesn't pay, doesn't deliver, or breaks these Terms, report it from their profile or the deal (or email hello@sinviva.com). We review reports and may warn, suspend, or remove accounts. We can't recover money or settle disputes between members. You can close your account at any time by emailing hello@sinviva.com. We may suspend or close an account, or remove content, if we reasonably believe it breaks these Terms, puts others at risk, or exposes Sinviva to legal risk. Sections of these Terms that should continue after an account closes (such as content licenses already used, disclaimers, limits on liability, and disputes) will continue.

13. Disclaimers

Sinviva is new and still being built. It's provided "as is" and "as available". To the fullest extent the law allows, we don't make promises about Sinviva, including that it will always be available, error-free, or secure, or that you'll find deals through it. We aren't responsible for what members post, say, or do, on or off Sinviva.

14. Limits on liability

To the fullest extent the law allows, Sinviva won't be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or opportunities. Our total liability for any claim relating to Sinviva is limited to the greater of $100 or the fees you paid Sinviva in the 12 months before the claim. Some places don't allow these limits, so they may not fully apply to you.

15. Your responsibility to us

If someone makes a claim against Sinviva because of your content, your deals, your messages, or your breaking these Terms or the law, you agree to cover the reasonable costs and losses that result, to the extent the law allows.

16. Disputes

If you have a problem with Sinviva, please email us first at hello@sinviva.com. Most issues can be solved quickly that way. These Terms are governed by the laws of the State of California and applicable U.S. federal law, without regard to conflict-of-law rules. Any dispute that we can't resolve informally will be handled in the state or federal courts located in San Diego County, California, and you and Sinviva agree to those courts' jurisdiction. Disputes between members are between those members.

17. Changes to these terms

We may update these Terms as Sinviva grows, for example when real payments launch. If a change is significant, we'll let you know through Sinviva or by email before it takes effect. If you keep using Sinviva after the change, you accept the updated Terms.

18. SMS program

Sinviva LLC SMS program: by opting in, you agree to receive text messages from Sinviva LLC about your inquiries, orders, appointments, and customer support. Message frequency varies. Message and data rates may apply.
